These Terms & Conditions ("Terms") govern the engagement between T-A-X Services LLC ("the Firm," "we," "us," or "our") and any individual or business client ("Client," "you," or "your") who receives tax preparation, bookkeeping, audit, notary, or related services from us. This document should be read together with our Privacy Policy.
1. Scope of Engagement / Services Provided
T-A-X Services LLC provides the following services: individual and business tax strategy and preparation, audit services and audit representation before the IRS, bookkeeping, notary public services, and life insurance products.
Our office and licensed professionals may provide tax planning guidance related to how the Internal Revenue Code applies to your specific financial and investment situation. However, we do not recommend specific securities, sell investment products, or manage investment portfolios, and nothing we provide should be construed as investment advice.
We do not provide general legal advice, and nothing in our services should be construed as the practice of law. We can analyze how the Internal Revenue Code applies to your specific tax circumstances, and our licensed professionals can legally represent you in IRS audits, appeals, and administrative hearings where authorized to do so.
The engagement between you and the Firm begins once you have fully completed and signed our client intake form. Engagement letters, where used, are authorized and signed by Jeanny Portillo on behalf of the Firm.
Returns are prepared based on the information, documents, and records you provide, including but not limited to W-2s, 1099s, receipts, and ledgers, which our preparers review to verify tax information. Where you request that we obtain your IRS transcripts or represent you before the IRS, this requires your signed consent via Form 8821 (transcript access) and/or Form 2848 (representation), as applicable.
2. Client Responsibilities & Accuracy of Information
You are solely responsible for providing accurate, complete, and timely documentation to our licensed tax professionals prior to the applicable filing deadline, including any extended fall deadline.
There is no firm-imposed deadline by which you must submit your documents; however, we strongly recommend you remain aware of IRS-issued deadlines and provide your documentation on the day of your scheduled appointment to avoid delays in processing your return.
If you provide incomplete or late information ahead of the spring filing deadline, you may request that our firm file an extension on your behalf.
You are required to review and approve your return before it is filed or submitted on your behalf. Filing constitutes your affirmation that you have reviewed the return for accuracy.
You are responsible for retaining your own copies of your filed return and supporting documents after your appointment. If you require replacement copies at any point after your original copies were provided, a $45 fee applies per request.
3. Fees, Payment Terms & Refund Policy
Our fees are structured based on the complexity of your tax or bookkeeping situation. Certain services, including but not limited to notary services, are billed separately from tax preparation fees.
Payment is due in full before your completed filing is submitted. In special circumstances, payment plans may be available upon request and at the Firm's discretion.
If payment is not made, the Firm will withhold your completed file until payment is received in full.
If you cancel services, or are dissatisfied with services rendered, you are entitled to a refund of 50% of fees paid for that engagement.

4. Confidentiality, Data Use & IRS Authorization
Before we file your return electronically, you are required to sign Form 8879, authorizing e-file submission. Where you request that we access your IRS transcripts or represent you before the IRS, you must additionally sign Form 8821 and/or Form 2848, as applicable.
We retain your client information and records for as long as you remain an active client of the Firm. Should you discontinue services with us, all documentation you provided will be surrendered back to you, and we will no longer retain it.
We are required to comply with an official IRS administrative summons or a federal grand jury subpoena requesting client information, and your consent is not required in these specific circumstances by law. Outside of these official legal contexts, the Firm does not disclose your information to third parties without your consent.
This section should be read in conjunction with our separate Privacy Policy, which governs our broader data collection and handling practices.
5. Limitation of Liability & No Guarantee of Outcome
The Firm does not guarantee any specific refund amount, audit outcome, or that any return prepared will be entirely free of error. Tax outcomes depend on the accuracy of information provided, changes in tax law, and IRS processing, all of which are outside the Firm's control.
Taxpayers are generally responsible for the returns they sign, even when prepared by a paid preparer. If an error results from information you provided, you bear responsibility for any resulting penalties, interest, or additional tax liability.
If our firm makes a preparer error, we will conduct a thorough internal investigation and provide you with an amended return, at no additional charge, as a courtesy.
The Firm is not responsible for delays or disruptions caused by third-party platforms or systems outside our control, including but not limited to IRS processing delays and outages of third-party platforms such as Nextiva or Financial Cents.
6. Termination & Cancellation of Services
Either party — the Firm or the Client — may terminate the engagement at any time, without a required notice period.
Upon termination, the Client is entitled to a 50% refund of fees paid for services not yet performed, provided all outstanding invoices for services already rendered are settled in full. The Client remains responsible for payment in full for all services rendered up to the effective date of termination.
Upon termination, all client documentation provided to the Firm will be returned to the Client and will no longer be retained on our systems.
Where the Firm initiates termination of services, a written letter will be sent to the Client's address on file, notifying them of the termination.
7. Electronic Communications & E-Signature Consent
By completing our client intake form, you consent to receiving communications from the Firm via email, text message, phone call, our client portal, or a combination of these methods. You will be asked to select at least one method of communication at intake.
E-signatures are accepted for engagement letters, Form 8879, and other applicable documents.
SMS Consent: By providing your phone number on our intake form, you consent to receive text messages from T-A-X Services LLC as described in our SMS Disclosure, including appointment reminders, document requests, and filing status updates. Message and data rates may apply. Reply STOP to opt out or HELP for assistance.
You may withdraw consent to electronic communications at any time by emailing our office with your request; upon receipt, we will transition to your preferred alternative method of communication.
For your security, sensitive information — including Social Security numbers, financial account numbers, and similar data — must not be sent via unsecured email or text message. Such information should be submitted only through the secure Financial Cents client portal provided to you upon engagement.
8. Governing Law
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
9. Changes to These Terms
The Firm may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
